End User License Agreement

1. Grant of License

Malinow Audio ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable, perpetual license to use the purchased audio plugin software ("Software") subject to the terms of this agreement.

This license permits you to:

• Install and use the Software on up to three (3) computers that you own or control
• Use the Software for personal, educational, and commercial music production
• Create and distribute musical works made using the Software without additional fees or royalties
• Receive free updates within the same major version (e.g., 1.x updates are free if you purchased 1.0)

2. License Activation

The Software requires online activation. Each license key permits activation on up to three (3) separate machines. Activation records a unique machine identifier.

You may deactivate a machine through your account dashboard to free up an activation slot. Deactivation requires internet access.

If you need additional activations (e.g., for a new computer after reaching the limit), contact our support team.

3. Restrictions

You may NOT:

• Redistribute: Copy, share, upload, or distribute the Software or license key to any third party
• Resell: Sell, rent, lease, or sublicense the Software without prior written permission
• Modify: Decompile, disassemble, reverse engineer, or modify the Software
• Circumvent: Bypass, disable, or interfere with any copy protection or license enforcement mechanism
• Claim Ownership: Remove or alter any copyright notices, trademarks, or proprietary legends

4. Ownership

The Software is licensed, not sold. Malinow Audio retains all ownership, copyright, and intellectual property rights in the Software. This license does not grant you any ownership rights.

5. Updates and Support

Malinow Audio may, at its discretion, provide updates, bug fixes, and new features. Updates within the same major version are provided free of charge. Major version upgrades may be offered at a discounted upgrade price.

Technical support is provided via email on a reasonable-efforts basis.

6. Trial Version

If you are using a trial version of the Software, this license grants you a limited, time-restricted license for evaluation purposes only. Trial versions may have functional limitations (such as audio watermarks or disabled saving).

Trial versions may not be used for commercial purposes. To continue using the Software after the trial period, you must purchase a full license.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Malinow Audio does not warrant that the Software will meet your requirements or operate uninterrupted or error-free.

8. Limitation of Liability

IN NO EVENT SHALL MALINOW AUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR PROJECT DELAYS.

Malinow Audio's total liability shall not exceed the purchase price you paid for the Software.

9. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms.

Upon termination, you must:

• Cease all use of the Software
• Delete all copies of the Software from your systems
• Destroy any related documentation

Termination does not entitle you to a refund except as provided in our Refund Policy.

10. Governing Law

This agreement shall be governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions.

11. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Malinow Audio regarding the Software and supersedes all prior agreements.
